Terms of Service
1. Agreement to Terms
By engaging the services of Zach Clark Excavating, LLC , you agree to be bound by these Terms of Service. These terms govern the relationship between you (the "Client") and Zach Clark Excavating, LLC (the "Agency").
2. Service Conditions
Zach Clark Excavating, LLC agrees to provide digital marketing services as outlined in the specific Service Agreement or Statement of Work signed by both parties. Services may include but are not limited to SEO, PPC, Social Media Marketing, and Content Marketing. The Client agrees to provide all necessary information, access to platforms, and collaboration required for the Agency to perform these services effectively.
3. Timelines and Deliverables
Project timelines and key deliverables will be specified in the Service Agreement. While Zach Clark Excavating, LLC will make every reasonable effort to meet these timelines, the Agency is not liable for delays caused by the Client's failure to provide timely feedback, content, or approvals. Any changes to the scope of work may result in adjustments to the project timeline and cost.
4. Payment Terms
Payment terms will be detailed in the Client's invoice and Service Agreement. Typically, services are billed on a monthly retainer basis, payable in advance of the service period. Invoices are due upon receipt unless otherwise specified. Late payments may incur interest charges and could result in a temporary suspension of services until the account is brought current.
5. Confidentiality
Both the Client and Zach Clark Excavating, LLC agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the business relationship. This includes business strategies, customer data, campaign data, and any non-public information. This obligation of confidentiality extends beyond the termination of the service agreement.
6. Limitation of Liability
Zach Clark Excavating, LLC strives to provide the highest quality services, but does not guarantee specific results or outcomes. The digital marketing landscape is constantly changing, and performance can be affected by factors beyond our control. The liability of Zach Clark Excavating, LLC for any claim arising from our services is limited to the total fees paid by the Client to the Agency in the preceding three (3) months.
7. Termination
Either party may terminate the service agreement with a written notice period as specified in the contract (typically 30 days). Upon termination, the Client is responsible for paying for all services rendered up to the effective date of termination. Zach Clark Excavating, LLC will cooperate in the transition of all campaign assets and data back to the Client.
8. Legal Disclaimers
All services are provided "as is" without warranty of any kind. Zach Clark Excavating, LLC disclaims any warranties of merchantability or fitness for a particular purpose. The Client agrees to indemnify and hold harmless Zach Clark Excavating, LLC and its employees from any and all claims, liabilities, and expenses arising from the Client's use of our services or the content provided for marketing campaigns.
